Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Quorum (the “Service”), operated by Quadratic Digital (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The service

Quorum is a software-as-a-service product that records board and committee meetings, transcribes them using third-party speech recognition, and generates structured meeting minutes using artificial intelligence. Outputs are provided for your review and approval; you are responsible for verifying their accuracy before adopting them as official records.

3. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity that occurs under your account. You must be at least 18 years old and authorized to act on behalf of your organization.

4. Acceptable use

You agree not to:

  • Record any individual without the legal consent required in your jurisdiction.
  • Upload content that is unlawful, defamatory, infringing, or contains malware.
  • Attempt to reverse engineer, decompile, or gain unauthorized access to the Service.
  • Resell or sublicense the Service without our written permission.
  • Use the Service to violate the rights of any third party.

5. Your content

You retain all rights to the audio recordings, transcripts, and minutes you create with the Service (“Your Content”). You grant us a limited, non-exclusive license to store, process, and transmit Your Content solely to provide the Service to you. We do not use Your Content to train machine-learning models.

6. Recording consent

Recording laws vary by state and country. Many jurisdictions require the consent of all parties being recorded. You are solely responsible for obtaining any consent required before recording a meeting. Quorum is a tool; legal compliance is your responsibility.

7. Subscription and payment

The free plan includes a monthly meeting quota. Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. You may cancel at any time; cancellations take effect at the end of the current billing period. Fees are non-refundable except where required by law.

8. Third-party services

The Service relies on third-party providers including Amazon Web Services (hosting), Deepgram (speech recognition), Anthropic (AI minutes generation), and Stripe (payments). Your use of the Service is also subject to the terms of these providers where applicable.

9. Availability and changes

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We will provide reasonable notice of material changes affecting paid subscribers.

10. Termination

You may stop using the Service at any time by closing your account. We may suspend or terminate your access if you violate these Terms or engage in fraudulent, abusive, or illegal activity. Upon termination, we may delete Your Content after a reasonable grace period.

11. Disclaimers

The Service is provided “as is” without warranties of any kind. AI-generated outputs may contain errors or omissions and should not be treated as official records until reviewed and approved by a qualified person. We disclaim all warranties to the fullest extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of the Service shall not exceed the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

13. Indemnification

You agree to indemnify and hold us harmless from any claim arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including claims related to recording consent.

14. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Pennsylvania.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
